What We're Looking For Cross River’s Legal team handles all the legal responsibilities at Cross River, and as a Paralegal, you play a key role. Cross River is currently seeking candidates for a Corporate Paralegal reporting to the Associate General Counsel (and Chief Legal Officer). The successful candidate must have demonstrated work experience as a paralegal with a recognized U.S. law firm and/or in-house with a financial institution, fintech company or technology company. Experience with and a working understanding of the rules and regulations that apply to U.S. public companies is required (including those relating to the transition from a “small” private company to a large private company or a public company). She/he should also have strong familiarity with general corporate matters and corporate governance, entity management, equity administration, capital markets and securities laws. This candidate is expected to provide actionable advice and guidance. The candidate must exhibit strong judgement, market knowledge and decision-making skills in order to successfully manage and/or support transactions and filings, and work with outside counsel. Candidates must have a bachelor’s degree from a recognized U.S. college or university. Candidates must also possess strong academic credentials, excellent communication skills, a strong commitment to client service, ability to handle multiple matters, and the ability to work independently in a fast-paced team environment. Also, must be able and willing to think "outside the box". Responsibilities – what you will do: Maintaining corporate records, including resolutions, board of director changes, annual reports, etc. Oversee entity formation and maintenance including: Forming business entities (LLCs, corporations, partnerships) in the U.S. and foreign jurisdictions; preparing and filing articles of incorporation/organization; drafting bylaws, operating agreements, and partnership agreements; maintaining corporate minute books and records; preparing annual reports and state filings; managing registered agent services; and tracking entity compliance deadlines Manage corporate secretarial matters including: governance documents, corporate records (including minutes) and board portal materials for board and committee meetings; monitoring corporate governance compliance and regulatory requirements; and supporting director onboarding, education, evaluations, and term tracking; oversee Director & Officer Questionnaires. Produce documents related to the development and implementation of corporate policies and templates Assist with equity award administration the company’s equity management system Assisting with IPO readiness activities including completion of stock exchange listing requirements, periodic attestations, and various SEC filings Assist with due diligence, KYC and AML compliance requests Support closings, draft merger and acquisition documents, and a variety of commercial contracts for standard corporate agreements, such as non-disclosure, marketing, and independent contractor agreements Update contract forms and draft simple form documents (e.g., product claim settlement and releas
