This role is a cornerstone hire: a sharp, commercially minded corporate lawyer who thrives in fast-moving environments and wants real ownership, visibility, and long-term growth. THE ROLE We are seeking a Senior Corporate Counsel to partner closely with our senior leadership team to manage and negotiate a high volume of complex, global commercial and corporate agreements. This is not a back-office role. You will sit at the intersection of finance, strategy, and execution—negotiating directly with the legal teams of major global enterprises, overseeing external counsel, and supporting corporate development initiatives, including acquisitions and integrations. The role offers a significant runway for expansion into areas such as IP, data governance, and broader enterprise risk as Worldly scales. KEY RESPONSIBILITIES Commercial & Corporate Transactions - Lead drafting, review, and negotiation of a wide range of commercial and corporate agreements, including customer, vendor, partnership, and strategic transactions. - Serve as the primary legal partner to the CFO, ensuring contracts align with revenue recognition, billing, risk allocation, and operational realities. - Independently negotiate against sophisticated counterparties, including Fortune 500 companies and global luxury and consumer brands. Strategic & Corporate Support - Support global M&A activity, including due diligence, transaction execution, and post-acquisition integration. - Advise the CFO and executive team on legal risk, deal structure, and strategic tradeoffs in high-stakes negotiations. - Develop pragmatic, business-forward solutions that balance legal rigor with speed and growth. External Counsel Management - Manage and coordinate outsourced legal counsel, including international firms and specialized advisors. - Ensure high-quality, cost-effective legal support across jurisdictions. - Build scalable processes for contract review, escalation, and risk management. Building for Scale - Help design and improve contract templates, playbooks, and internal processes to support rapid growth. - Over time, expand coverage into adjacent areas such as intellectual property, data protection, and regulatory matters, in partnership with external experts. WHO YOU ARE We are looking for someone who is intellectually sharp, commercially savvy, and eager to take on real responsibility early. You likely bring: - A J.D. from a highly regarded law school. - 4-8 years of total legal experience, including: - 2+ years at a top-tier law firm (e.g., Am Law 20–30 or equivalent), ideally with exposure to high-stakes corporate or commercial work. - 2+ years of in-house experience at a fast-growing technology or global company, with direct ownership of complex agreements. - Demonstrated ability to negotiate confidently with senior legal
